The Takeover Panel recently published its feedback on its consultation on reviewing the Takeover Code, which resulted due to concerns with the Cadbury-Kraft takeover. The Panel has proposed changes to mitigate the effect of hostile bids, to improve the offer process and take more account of people affected by takeovers in addition to offeree company shareholders.

In late September, the QCA held an informal seminar for Advisor Members on the Bribery Act, where a prominent chambers 6 King's Bench Walk outlined what is in the Act and what people should be looking at before the Act comes into effect in April 2011. The long and complex review process of the Prospectus Directive reached a pivotal point on 17 June, when changes to the Directive were finally passed by the European Parliament, which includes a number of measures that will make equity fundraising more efficient for small and mid-cap quoted companies.
