Charles Russell Speechlys teamed up with the Quoted Companies Alliance and ICSA for our annual mock AGM, an evening of essential tips to help avoid those difficult AGMs that no one wants to experience. It covered what to do if issues arise, as well as other areas to consider in preparation for the 2018 ‘AGM Season’. To follow the event we have produced some guidance notes for quoted companies.

This note is intended as high level guidance to assist a company secretary in supporting the Chairman at the company’s annual general meeting
(AGM) itself. It is by no means exhaustive. In particular it does not cover the myriad of steps needed to plan for the meeting and book the venue up to the point of the meeting itself. The note should be tailored for each company by reference to its own articles, particularly those governing the conduct of meetings.

It can also be easily adapted for use by the Chairman as a procedural crib sheet. Reference should also be made to the helpful material published by ICSA. Though this note refers to AGMs, a number of the points will apply equally to any other general meeting.
