The QCA Corporate Governance Committee examined ICSA's draft guidance – Improving Board Effectiveness – that will replace the Higgs Guidance. We noted that there seem to be five key themes throughout the guidance, including Role of Chairman, Creating a climate for constructive challenge, Management of relationships, Understanding respective roles and Bespoke skill development for each director, which should be stated in the initial part of the guidance.
